Welcome to Zivana Care. These Terms and Conditions ("Terms") govern your access to and use of the Zivana Care mobile application, website, and related services (collectively, the "Platform"), operated by Kingmind Technologies Ltd ("Company," "we," "our," or "us").

By downloading, accessing, or using the Platform, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Platform.

1. Acceptance of Terms

By creating an account or using any feature of the Zivana Care Platform, you confirm that:

  • You are at least 18 years of age or have the legal capacity to enter into a binding agreement in your jurisdiction.
  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.
  • You are using the Platform for lawful purposes only.
  • If you are using the Platform on behalf of an organisation, you have the authority to bind that organisation to these Terms.

2. Description of Services

Zivana Care provides a digital health, wellness, and caregiver companion platform that includes:

  • Health and cycle tracking, educational content, and AI-powered wellness insights.
  • Access to healthcare professionals including doctors, midwives, and caregivers for consultations.
  • A marketplace (Zivana Medical Store) for purchasing health, wellness, and family products from verified vendors.
  • Community forums and peer support features for families, mothers, and caregivers.
  • Telemedicine and appointment scheduling functionality.

The Platform is intended for general health and wellness purposes. It is not a substitute for professional medical diagnosis, treatment, or advice. Always consult a qualified healthcare provider for medical decisions.

3. User Accounts

3.1 Registration

To access certain features of the Platform, you must create an account. You agree to provide accurate, complete, and current information during registration and to update that information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately at support@zivanacare.com if you suspect any unauthorised access to your account. We are not liable for any loss or damage resulting from your failure to protect your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time, without notice, if we believe you have violated these Terms or engaged in conduct that is harmful to the Platform, other users, or third parties.

4. Healthcare Disclaimer

IMPORTANT: The health information, content, and services provided through Zivana Care are for informational and general wellness purposes only. They are NOT a substitute for professional medical advice, diagnosis, or treatment.
  • Always seek the advice of a qualified physician, midwife, or other licensed healthcare professional regarding any medical condition or symptoms.
  • Never disregard professional medical advice or delay seeking it because of something you have read or received on this Platform.
  • In the event of a medical emergency, immediately call your local emergency services.

Healthcare professionals accessed through our Platform are independent practitioners. The Company does not practice medicine and does not interfere with the doctor-patient relationship.

5. Marketplace and Vendor Terms

5.1 Third-Party Vendors

The Zivana Medical Store features products listed by third-party vendors. While we verify vendors before onboarding, we do not manufacture, inspect, or guarantee the quality of individual products listed.

5.2 Purchases

All purchases made through the marketplace are subject to the individual vendor's terms of sale. Disputes regarding products should first be directed to the vendor. We provide a dispute resolution mechanism and may intervene where necessary.

5.3 Payments

Payments are processed through secure third-party payment processors. We do not store your full payment card details. By making a purchase, you agree to the terms of the payment processor in use at the time of transaction.

5.4 Returns and Refunds

Return and refund policies for marketplace products are set by individual vendors. Please review vendor-specific policies before purchasing. For services booked through the Platform (such as doctor consultations), cancellation and refund policies will be clearly stated at the time of booking.

6. User Conduct

You agree not to use the Platform to:

  • Upload, transmit, or share content that is harmful, abusive, defamatory, obscene, or otherwise objectionable.
  • Impersonate any person or entity, including healthcare professionals.
  • Engage in any fraudulent activity or misrepresent your identity.
  • Violate the privacy of other users or share their personal health information without consent.
  • Use automated tools to scrape, harvest, or extract data from the Platform.
  • Interfere with the security, integrity, or availability of the Platform.
  • Use the Platform to advertise or solicit users for your own products or services without our prior written consent.

7. Intellectual Property

All content on the Zivana Care Platform — including text, graphics, logos, icons, images, audio clips, software, and data compilations — is the property of Kingmind Technologies Ltd or its content suppliers and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, display, or create derivative works from any content on the Platform without our express written permission.

8. User-Generated Content

When you post, submit, or share content on the Platform (such as community posts or reviews), you grant Kingmind Technologies Ltd a worldwide, royalty-free, non-exclusive licence to use, reproduce, modify, and display that content in connection with operating and improving the Platform.

You represent and warrant that you own or have the necessary rights to the content you post and that it does not infringe any third-party rights.

9. Community Guidelines

Our platform is a safe space for mothers, caregivers, and healthcare professionals. By participating in community features, you agree to:

  • Treat all members with dignity and respect.
  • Share only accurate and helpful health information, and clearly label personal opinions as such.
  • Not post content that shames, bullies, or discriminates against any user.
  • Report any content or behaviour that violates these guidelines using the in-app reporting tools.

We reserve the right to remove any content that violates our community guidelines and to ban users who repeatedly or egregiously violate these standards.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Kingmind Technologies Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, profits, goodwill, or other intangible losses — arising from:

  • Your use of, or inability to use, the Platform.
  • Any content obtained from the Platform.
  • Unauthorised access to or alteration of your data.
  • Any third-party conduct on the Platform.

Our total liability to you for all claims arising out of or related to the Platform shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kingmind Technologies Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to the Platform and Terms

We reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice. We may also update these Terms periodically. If we make material changes, we will notify you via the app or by email.

Your continued use of the Platform following the posting of revised Terms constitutes your acceptance of those changes.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, or the relevant laws of your jurisdiction where applicable. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation.

If a dispute cannot be resolved informally within thirty (30) days, it shall be submitted to mediation or arbitration under applicable arbitration rules or the Arbitration and Conciliation Act of Nigeria. The seat of arbitration shall be Port Harcourt, Rivers State, Nigeria, or as otherwise agreed between the parties.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Kingmind Technologies Ltd regarding your use of the Platform.
